We recommend that you review these Terms & Conditions in full before booking your Property-Reservation Request.

 

REMPIA™ is a trading name of Zest Impact Ltd (company number: 10435254) registered at: 7 Galena Road, London, England, W6 0LT

These Terms & Conditions apply to all arrangements between you and REMPIA™ in connection with your Property Reservation-Request and matters connected with your property, including in relation to your payment of the REMPIA™ Fee. (Details of the REMPIA™ Fee are set out in the section entitled “We charge you a non-refundable REMPIA™ Fee for our Services”.)

You can find everything you need to know about us, REMPIA™, and our services, on our website at https://www.rempia.com/ or before you enter into this contract. 

A copy of these Terms & Conditions is also available on our website at https://www.rempia.com/terms-conditions.

We also refer you to the information in relation to the Development (details of which are set out in the Booking Form) that you will be sent by the developer, including the REMPIA™ investment deal online information page (referred to as the Information Page), as well as the information and details provided by our Partner Broker.  

Our services in relation to your property purchase

Our Services are as follows: 

We identify residential investment opportunities, carrying out relevant research on the Development and Developer (whose details are set out in the Developer’s Booking Form).  Our research may include broker’s due diligence, developer’s due diligence, site visits and investigations/research into the geographical area in which the Development is located.  

We may undertake price negotiations with the Developer prior to us introducing the Development investment opportunity to you.

We prepare information packs on the investment opportunities, and our Partner Broker may provide further information and answer questions on a 1-1 basis, as well as offering guidance on the purchasing process.

If, after reviewing an investment opportunity, you wish to proceed with reserving a property in the Development, we undertake a preliminary Property-Reservation Booking process with you.  Under this process, you make a Property-Reservation Booking Request to us in relation to one of more specific unit(s) in the Development.

 

After you have completed the Property-Reservation Booking Request to us, we will liaise with our Partner Broker and notify them of your Property-Reservation Booking Request, which will include passing them your contact details. This then starts the first stage of your property purchase process with the Broker and the Developer.

Only the Developer can make, and confirm, the final reservation of your selected property (your Property-Reservation), and not REMPIA™. More detail on this process is set out below in the section entitled: “Acceptance by us of your Property Reservation Booking Request is no guarantee that the Developer will honour that Property Reservation”.

When you make a Property-Reservation Booking Request to us you are agreeing that*:

  • On occasion, there may be reason for us, REMPIA™, to reject your Property-Reservation Booking Request. 
  • If we reject your Property-Reservation Booking Request, your REMPIA™ Fee will be returned.
  • Acceptance by us of your Property-Reservation Booking Request is no guarantee that the Developer will honour that Property-Reservation. 
  • If your Property-Reservation Request is rejected by the Developer, there are circumstances where you may terminate this contract and we will refund your REMPIA™ Fee.
  • We charge you a non-refundable REMPIA™ Fee for our Services.
  • We're not responsible for issues outside of our control, for example changes to lenders’ criteria or government legislation, or activities of the Developer or issues regarding the Development. 
  • If your Property-Reservation falls away for any reason, REMPIA™ is entitled to market the property again.
  • You may incur additional costs in relation to buying and managing a property; for example, fees to your solicitor and other advisors.  
  • You are responsible for your own investment decisions. We recommend undertaking your own due diligence and seeking the advice of a competent independent financial advisor prior to making any financial decision.
  • You understand the key risks.
  • You believe the property purchase is affordable, based on your personal circumstances and financial assessments. 
  • We may receive introducer fees, agency fees and commissions, including from our Partner Broker or from the Developer.
  • We have refund payment arrangements, where applicable. 
  • We can revise the services we provide and these Terms & Conditions if there are changes in relevant laws and regulatory requirements.  
  • If we break our obligations under these Terms & Conditions, there are certain losses we won’t compensate you for, for example, if a loss could have been avoided had you taken reasonable action.
  • We use your personal data in connection with our services. 
  • You give us permission to pass your details to third parties in connection with the provision of our services under this contract, and in connection with the purchase and ongoing management of your property.
  • VAT is payable where applicable.

 

Sometimes we reject Property-Reservation Booking Requests

Sometimes we reject Property-Reservation Booking Requests and do not pass the details to our Partner Broker or Developer.  This could happen, for example, if a customer fails our Know Your Client checks or we are unable to verify customer details provided to us. When this happens, we let you know as soon as possible and return our REMPIA™ Fee if you have already paid it to us.

Acceptance by us of your Property-Reservation Booking Request is no guarantee that the Developer will honour that Property-Reservation

We process your Property-Reservation Booking Request and pass the details to our Partner Broker or to the Developer.  

We do not represent our Partner Broker or Developer, but we are engaged by our Partner Broker or Developer in connection with marketing the Development properties.  

Following receipt of your Property-Reservation Booking Request, our Partner Broker or Developer may provide you with further information and their terms and conditions.  These may include a requirement to pay them a reservation fee to secure your Property-Reservation, and/or that you proceed to fill and sign the Developer’s Booking Form and exchange of contracts for the purchase of the property within a time period set by the Developer.

You (or your solicitors) will deal directly with the Broker and/or Developer (or their solicitors) to finalise and confirm your Property-Reservation.  Only the Developer, not REMPIA™, is able to confirm the Property-Reservation.

The Property-Reservation will be done under a separate arrangement / contract between you and the Developer.  You will also deal directly with the Broker and/or Developer in relation to exchanging contracts for, and completing the purchase of, the property.

Whilst the REMPIA™ Team will keep in touch with you during the process, after we have passed the Property-Reservation Booking Request to our Partner Broker and/or Developer, we have no further responsibility for the progress of the property purchase.

We charge you a non-refundable REMPIA™ Fee for our Services   

Our fee, the REMPIA™ Fee is payable in respect of the Services provided to you by REMPIA™.

These Services are outlined in the section entitled “Our services in relation to your property purchase”.  

 

If your Property-Reservation Request is rejected by the Developer, there are circumstances where you may terminate this contract and we will refund your REMPIA™ Fee

  • If within 7 days of you completing your completed Property-Reservation Booking and paying us your REMPIA™ fee, our Partner Broker or Developer determine that, through no fault of yours, it is unable to accept the Property-Reservation Request on the property you specifically asked to reserve with them, and you choose not to purchase an alternative suitable property in the Development (if the Developer offers you one) or take advantage or an equally attractive investment opportunity that our Partner Broker may be able to offer you, then you may terminate this contract with us so long as you do so within the 7-day period referred to above.  If this contract is terminated under those circumstances, we will refund the REMPIA™ Fee in full.

We're not responsible for issues outside of our control

We are not responsible for, and will not compensate you for, events that are outside of our control, even if they affect your investment decision or your property (or its purchase).

Things outside of our control may include (but are not limited to):

  • any matter arising from changes in lenders’ criteria or interest / mortgage rates, legal precedent, government legislation or changes in the market (including to property prices), or
  • activities of the Developer or issues regarding the Development (including in connection with the building / development of the Development or your property), or any issues, delays or failures in the progression of exchange or completion of contracts for your property purchase, or 
  • events such as Act of God, pandemic or epidemic including the Coronavirus outbreak or quarantine restrictions, or natural disasters such as storms, earthquakes, tidal waves, floods, droughts, lightning, explosions, fires, or destruction of plant, machinery and/or premises,  war, riot, terrorism, acts of sabotage, failure of power supply, lock-out, strike or other action taken by workers in contemplation or furtherance of a dispute or owing to any inability to procure necessary materials and/or services. 

The circumstances in which you are entitled to a refund of the REMPIA™ Fee are set out above. Other than in these specified circumstances, we will not refund the REMPIA™ Fee.

If your Property-Reservation falls away, REMPIA™ is entitled to market that property again

If our Partner Broker or Developer informs us that your Property-Reservation Request has been rejected or the Property Reservation with them has terminated, expired or falls away for any reason and the sale and purchase of that property to you will not proceed, REMPIA™ is entitled to market that property to other potential customers.  

You may incur additional costs in relation to buying and managing a property

In addition to the REMPIA™ Fee payable to us, you may incur additional costs payable to other third-party organisations in relation to buying the property, including fees and costs payable to the Developer, your solicitors and other advisers, costs in connection with obtaining a mortgage, and taxes.  

Following the purchase of your property, you may also incur costs in relation to running and maintaining your property. Any information we provide to you in relation to potential additional costs (i.e. costs in addition to the REMPIA™ Fee) is provided for information purposes only and should not be relied upon.

We cannot be held liable for, and accept no responsibility for, any costs associated with the purchase, running or maintenance of your property as a buy-to-let, whether these were identified by us in any documentation or information provided to you, including any cash-flow forecast. We are responsible solely for the Services set out in the section entitled “Our services in relation to your property purchase”.

In particular, should the purchase of your property from the Developer not proceed, you (and not REMPIA™), will be responsible for meeting any and all costs (including future costs).

You are responsible for your own investment decisions.  We recommend undertaking your own due diligence and seeking the advice of a competent independent financial advisor prior to making any financial decision

You are responsible for your own investment research and due diligence (including in relation to the Developer, Development, geographical area, comparable properties value, and market rents), and your investment and purchasing decisions.  

You should not rely on our webinars, presentations, accompanying documentation, research, or information in connection with the opportunity, Developer, Development and/or the property, and we do not represent or warrant its accuracy. All photos and figures quoted by us or otherwise provided to you, are for illustrative purposes only.  We do not update our research or other information after the investment deal launch.     

You accept that whilst REMPIA™ presents various possible structures to purchase property, we do not provide advice on these structures, including their suitability, and we cannot be held responsible for them. 

You agree that REMPIA™, its directors, employees and shareholders have given no advice on, or representation or warranty as to the suitability of any property purchase or investment, the standard of the Development or property you have selected, or in relation to the Developer.  Any news, information, or any material published or provided in any media by REMPIA™, any company in the Zest Impact Ltd, The Financial Freedom Hub™, or REMPIA™ group of companies or by any of their directors, is provided for information only, and any opinions expressed should not be relied upon when making investment / purchase decisions; and you agree that REMPIA™ shall not be liable for any decision made or action taken (including in relation to making the Property-Reservation Booking Request), based upon reliance on any such opinions, news, information or material.

We make no claims as to the specification of the finished property. Prior to finalising your purchase, you will need to refer to information provided to you by the Developer, including their specifications for the relevant property.

Where you had questions or were unsure, you confirm that prior to making the Property Reservation Booking Request you consulted a competent independent adviser and that those questions have been answered to your full satisfaction.

You acknowledge that you have reviewed the cash flow illustrations which can be accessed via the REMPIA™ Investment Deal Information Page, and through your own due diligence and analysis (and any independent advice you have sought) you believe that the purchase and service of the property on an ongoing basis, is within your financial means. 

You understand the key risks

You are aware that a real estate/property investment involves certain financial risks.  

Prior to making your Property-Reservation Booking Request and paying the REMPIA™ Fee you are aware of the risks involved, which may include (but are not limited to):

  • Property values and rents can go down as well as up.
  • There can be no assurance that your property purchase will achieve your investment objective.  In particular, a property investment is inherently illiquid and market conditions may impact your returns.
  • Actual inflation or interest rates may be higher than estimates or projections, and lenders’ criteria and/or the availability of mortgage products may fluctuate.
  • Costs associated with managing your property may change over time.
  • If you do not keep up payments on loans or mortgages secured on your property, it may be repossessed.
  • The purchase of a property is not within a financially regulated framework and therefore may be considered as a high-risk investment. 

We may receive introducer fees, agency fees and commissions

We may receive introducer fees, agency fees, commissions and/or other payments. These can include fees from our Partner Broker, from the Developer, and from other third parties.

We have refund payment arrangements

Where a refund of the REMPIA™ Fee is payable under this contract, we will refund you as soon as possible. We will refund you by the method you used for payment. We don't charge a fee for the refund.

Although the payment instructions will be made by us as soon as possible, you should be aware that there may be a delay in you receiving the refund, where the payment is processed by third parties outside of our control, such as your credit card supplier.

You have rights if there is something wrong with the services you receive from us

If you think that there is something wrong with the services you have been provided by REMPIA™, or that the property or purchasing opportunity does not conform to information provided to you by us, you should contact our REMPIA™ Team at support@thefinancialfreedomhub.com.

 

We can revise the services we provide, and these Terms & Conditions, if there are changes in relevant laws and regulatory requirements  

We can always change our services to reflect changes in relevant laws and regulatory requirements, and to make minor technical adjustments and improvements to these Terms & Conditions. 

If we break our obligations under these Terms & Conditions, there are certain losses we won’t compensate you for

We’re responsible for losses (up to and not exceeding the amount of the REMPIA™ Fee) you suffer caused by us breaking our obligations under this contract, unless the loss is:

  • Unexpected. It was not obvious that it would happen and nothing you said to us before you made your Property-Reservation Booking Request meant we should have expected it (so, in the law, the loss was unforeseeable, indirect or consequential, whether in contract, tort (including negligence) breach of statutory duty or otherwise).
  • Caused by an event outside our control, including a delaying event. Further information is set out in the section entitled “We're not responsible for issues outside of our control”.
  • Avoidable. Something you could have avoided by taking reasonable action. 
  • A business loss. It relates to your use of our services for the purposes of trade, business, craft or profession.
  • Loss of profit. It relates to the loss of profits, business, or opportunity.

In any case, our liability is limited to, and cannot exceed in any circumstance, the amount of the REMPIA™ Fee.

We use your personal data in connection with our services

We are assisting you with your real estate investment journey and related activity.  It is in our legitimate business interests to collect and process some personal information so that we can provide our services.

We will process your personal data for the purposes of you entering into a contract with us and facilitating entry into a contract with a third party.

By agreeing to these Terms & Conditions, you are expressly permitting us to:

  • provide your personal data to our Partner Broker and Developer in connection with progressing your Property-Reservation Booking Request and the subsequent purchase of your property.
  • provide your personal data to other third parties who supply various different services in connection with the purchase and ongoing management of your property, and/or that we consider provide services or products you would find useful.  Examples of these are mortgage brokers, solicitors, letting agents, blinds, furniture and flooring contractors, and snagging companies.
  • control and process your data in order to manage introductions, contracts and services.
  • use your personal data to contact you in connection with property investment opportunities. 

In some circumstances, your personal data could be processed internationally.  The purpose of this data transfer would be in connection with progressing your Property Reservation Booking Request or in connection with the purchase of your Property and would typically occur where our Partner Broker, the Developer, or a third party involved with your Property-Reservation or purchase is not domiciled in the same country where you reside.  We use certain safeguards with respect to data processing, and more detail on this, and on how we use any personal data you give us, is set out in our Privacy Notice.

You give us permission to pass your details to third parties in connection with the provision of our services under this contract, and in connection with the purchase and ongoing management of your property.

VAT is payable

If applicable, VAT will be charged at the prevailing rate.  This will be the case whether or not reference to VAT is included on the cashflow documentation, quote, order or invoice.

You have several options for resolving disputes with us

Our complaints policy.  If you have a complaint about any part of the service, including that of third parties, please contact us by email at support@thefinancialfreedomhub.com.

Other important terms apply to these Terms & Conditions 

We can transfer our contract with you, so that a different organisation is responsible for supplying your services. We'll tell you in writing if this happens and we'll ensure that the transfer won't affect your rights under the contract.  If you're unhappy with the transfer, you can contact our Team at support@thefinancialfreedomhub.com.

You can only transfer your contract with us to someone else if we agree to this. We are under no obligation to agree to you transferring your contract. 

Nobody else has any rights under this contract. This contract is between you and us. Nobody else can enforce it and neither of us will need to ask anybody else to sign-off on ending or changing it.

If a court invalidates some of this contract, the rest of it will still apply. If a court or other authority decides that some of these terms are unlawful, the rest will continue to apply.

Even if we delay in enforcing this contract, we can still enforce it later. We might not immediately chase you for not doing something (like paying) or for doing something you're not allowed to, but that doesn’t mean we can't do it later.

All the terms and conditions in relation to our services are set out in this contract.  All the terms and conditions between you and REMPIA™ are set out in these Terms & Conditions.
